外汇交易客户协议
本外汇交易客户协议（以下简称为“协议”）中规定了在本协议的签署方（“客户”）和_________公司之间所达成的，各种场外即期、远期和期权外汇合约交易（统称为“外汇合约”）所必须遵从的各项条款和条件。1．授权。在_________公司处将以客户的名义开设一个或是多个账户（统称为“账户”）来为客户进行外汇合约的交易。在符合本协议中相关条款的前提下，客户在此授权_________公司根据从自动化系统（根据在第5（a）中进行的定义）或者接入_________公司交易台（简称为“交易台”）的电话中获得的客户指示来购买和售出外汇合约，其中_________公司将作为交易的当事人而不是代理方。_________公司还会根据_________公司和客户之间所达成的约定提供相应的其它服务和产品。客户在此确认外汇合约并非是由一个受到管制的交易所或是其结算所来进行操作的，或是由后者来进行担保的。客户同样确认外汇合约交易将不会受到和期货合约交易相同的法规或财务方面的保护。客户在此表明并担保：a．客户理解作为交易的对立当事方，_________公司和客户都必须依赖于另外一方的信誉来进行交易；b．每一个达成的外汇合约将都将就其具体的经济条款进行个别的协商；c．_________公司并不扮演客户或其账户的投资顾问、商品交易顾问或是委托人的角色。2．适用的法律法规。所有在客户账户中发生的外汇合约交易都必须遵从：a．本协议以及所有相关协议中的条款；b．法律、法规、规定以及任何适合的政府机构、法规制定机构或是自律机构所做出的解释；c．各种贸易惯例（所有上述这些中在任意时候的有效部分都被统一称“规定或法律”）。如果本协议中的任何条款或规定已经或在未来某个时候和当前或外来的规定或法律不一致并使得该协议条款或规定无效或无法进行执行的时候，就必须对其进行修订或替换，直到和相应的规定或法律相一致为止。但是协议中其它没有受到影响的部分将继续保持有效。无论是_________公司，还是其高级官员、董事、经理、管理成员、职员、附属机构、代理方或是委派方（以上这些包括_________公司在内都统一称为“_________公司相关各
方”）都不会对_________公司相关各方按照规定或法律要求所采取的合理行动的结果承担任何义务。_________公司对规定或法律的违反都不会在任何诉讼、理赔、仲裁或其它法律程序中赋予客户（y）针对_________公司根据本协议而
提出的金钱或其它财物方面的赔偿要求的一种辩护，或者是（z）由客户向_________公司提出的金钱或财物方面的赔偿要求的基础，除非_________公司的过失被确定为和客户并没有给出指示的一项交易有关，并且是导致客户向_________公司进行索赔的直接原因。3．客户的支付义务。客户同意应
_________公司要求后向其支付：a．任何适用的的各种费用、酬金和成本（包括但不仅限于加价、价差、佣金、服务费和其它收费）；b．所有适用的管理机构和自律机构所规定的费用和酬金；c．任何适用的对外汇合约交易所征收的税金； d．所有该账户所应该支付给推荐商的推荐费或交易顾问的酬金，将由_________公司及时从客户的账户上扣除并直接汇入相关方；e．在账户交易中发生的任何损失；f．在账户中发生的借差或不足部分；g．由于账户中所发生的借差或不足而产生的利息费用（其利率在第3部分中给出）、以及为了收取该账户借差或不足部分而相应产生的各种成本和合理程度上的律师费用；h．和本账户或其它任何交易有关的由客户向_________公司拖欠的费用。所有由
_________公司收取的佣金、费用或酬金以及需要支付给推荐商或交易顾问的酬金都必须在每月发送一次的费用清单中加以说明。_________公司可以在不预先通知的情况下，自行改变其佣金、费用和／或酬金。客户在此同意其有义务就拖欠_________公司的款项支付相应的利息费用，其利率为以下两者中较低的一个：即法律规定的最大的利率值和当时_________公司的主要银行所采用的基本利率再上浮三（3）个百分点。所有的费用都必须在发生以后由客户进行支付，客户在此授权_________公司直接从客户的账户中直接扣除这些相应的费用。其它客户需要进行支付但是没有直接从账户进行扣除的部分将通过汇款（或者在_________公司完全通过自行考虑和选择后同意使用的支票方式“）将立刻可用的资金按照本协议所附加的客户申请表中进行的规定汇入在_________公司处的账户。客户同意在得到对方通过电话或其它通讯手段提出要求的前提下，客户将向_________公司提供银行官员的姓名和其它用来验证该项汇款所需要的信息。4．对风险和利益冲突的确认。客户在此确认已经了解到外汇交易是一项建立在高度经济杠杆和快速变化的市场基础上的投机行为。虽然存在这些风险，客户将愿意也有能力可以承担这些财务上的风险、以及其它在外币交易中所可能发生的风险。客户承认在外汇合约的交易中，对交易收益的担保或是不发生任何损失都是不可能的。客户再一次确认其本身并没有接收到任何来自

中英文客户交易协议scope of agreement (协定的范围)
customer acknowledges and understands that trading and investment in leveraged otc foreign currency contracts is highly speculative, involves an extreme degree of risk, and is generally appropriate only for persons who can assume risk of loss in excess of their margin deposit. customer understands that because of the low margin/high leverage normally available in foreign currency trading, price changes in foreign currency contracts may result in significant losses. such losses may substantially exceed customer’s investment and margin deposit. by customer directing snc ?to enter into any foreign currency contract, any profit or loss arising as a result of a fluctuation in the exchange rate affecting such currency will be entirely for the customer’s account and risk. 客户确认并明白，交易和投资在场外杠杆式外汇合约是有高度投机性，涉及极端的风险程度，而且通常只适合可承担损失超过其保证金风险的人。客户理解，由于低保证金/高杠杆作用，进行外币交易时，外币汇率收缩引起的价格变动可能导致重大损失。这种损失可能大大超出客户的投资金额和保证金。客户通过snc 进入任何外汇合同，由于货币的汇率波动所造成的利润或亏损将完全属于账户承担的风险。

customer agrees to be responsible for any transaction instruction received by snc either electronically via the snc ??internet trading platform (or similar product),

customer shall provide to and maintain with snc ?margin in such amounts and in such forms, and within such limits as snc , in its sole discretion, may from time to time require. margin requirements, including initial (opening) margin and maintenance margin requirements, are defined in snc ?trading policies. snc ?may change margin requirements at any time. customer agrees to deposit by immediate wire transfer such additional margin when and as required by snc , and will immediately meet all margin calls in such mode of transmission as snc ?shall, in its sole discretion, designate; provided, however, and notwithstanding any demand for additional margin, snc ?may at any time proceed to liquidate customer’s account in accordance with trading policies. any failure by snc ??to enforce its rights hereunder shall not be deemed a future waiver of such rights by snc , and the customer shall impute no liability to snc ??whatsoever for losses resulting from such failure. no previous margin requirement by snc ?shall preclude snc ?from increasing or decreasing that requirement without prior notice. snc ?may call for additional margin (“margin call”)

篇三：外汇协议书
合作协议甲方： (以下简称甲方） 乙方： （以下简称乙方） 甲乙双方经过友好协商，本着平等互利、服务客户，实现双赢的目标下，就代理保证金
亚洲汇点外汇黄金交易合作事宜达成本协议。
第一章 合作内容
第一条：甲方为乙方提供保证金外汇、黄金交易的网络交易平台。
第二条：甲方为乙方提供必要的技术支持。
第三条：乙方负责所在区域个人客户及个人ib的开发。
第四条：乙方负责开发客户到甲方所代理的亚洲汇点交易平台进行保证金外汇、股指黄
金交易。
第五条：乙方负责其开发的客户的跟踪服务和日常管理，包括介绍使用交易平台、交易规则、交易流程等。
第二章甲方的权利和责任
第一条：甲方有权利在乙方存在违反本协议第一章第五条、的情况下，终止本合作协议，并要求乙方支付相应的赔偿。
第二条：甲方拥有向乙方提供外汇保证金交易服务、外汇业务咨询等相关服务的最终解释权。
第三条：甲方保证按协议规定，及时向乙方支付开发客户费用。
第四条：甲方负责督促亚洲汇点用手机短信或e-mail的形式，把开户交 易账户和交易密码发给客户。(i) 乙方的权利和责任
第一条：乙方负责办公场地的租赁费、员工工资、及必要的营销、办公费等。
第二条：乙方在甲方明显存在本协议第二章第三条、第四条、第五条的情况下，有权终止本合作协议，并要求甲方相应的赔偿。
第三条：乙方负责所在地区市场的开拓。 (ii) 市场推广的具体条款
第一条：合作期间内每标准手返机构ib佣美金，机构签定合约起 一个月内要开设美金的真实帐户，并保障合约期内帐户金 额不低于 美金的机构标准 ，每月新增入金不低于3000 美金。
第二条：自协议生效日起的第二个月同日进行结算，双方确认无误以后，在每月的15号甲方将佣金汇入乙方账户。
第五章违约责任
第一条：甲方如有以下行为，乙方有权终止本合作协议，并要求甲方相应的赔偿。
1. 甲方未在指定工作日中，未按时对乙方履行支付市场推广分成；
第二条：乙方如有以下行为，甲方有权终止本合作协议，并要求乙方相应的赔偿。
1. 从事与甲方利益有冲突的外汇保证金平台代理业务的；
第六章 争议的处理
甲、乙双方在履行本协议过程中所发生的争议，由双方按照行业常规或法律、法规和相
关政策的规定协商解决，如协商不成的，则由甲方所在法院以诉讼的方式解决。
第七章 附则
第一条：本协议由甲、乙双方共同商定，任何一方不得擅自更改。本协议中如有不符相
关法律法规之处，一律以本协议规定为准，甲乙双方必须共同遵守。
第二条：本协议有效期一年，一方如要变更或解除本协议，应提前10天书 面通知对方，如无书面通知，视为双方默认协议自动延长一年。

第一条 借款金额：甲方确认向乙方借得现汇____ 万美元（或其他外币），买方信贷____

第二条 借款期限：现汇____ 年____ 月。（从第一次用汇之日起到还清本息止）;买方信
贷____ 年____ 月。按本合同所附的用款计划（略），乙方保证及时提供。如因甲方未按计划
用款而造成乙方组织外汇资金的利息损失，甲方按乙方规定支付外汇承担费。
第三条 借款利息率为年息：现汇为____ %（按中国银行总行公布的浮动利率计息）;按
____ 月浮动;买方信贷为____ %，按____ 天计算。在借款期间，每半年计息期应计的利息，
如甲方未能支付，甲乙方直接借记甲方借款帐户内，实行复息计算。由于计息增加的贷款额，
不占用贷款额度。
第四条 借款使用;在引进的技术设备成交后，应将合同副本送交乙方，甲方委托乙方全
权办理进口开证，审单付款等事务。甲方保证本合同项下的外汇，不挪作他用，如果发生挪
用，其挪用部分，乙方加倍收取利息。
第五条 借款偿还：甲方在借款期终止日，全部清偿贷款本息。甲方因故不能履行本合同
规定归还借款时，由担保单位负责按期归还借款本息的外汇额度的相应等值的人民币（包括
